Terms of Service

1. Agreement

These Terms govern your access to and use of Dafined (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

2. The Service

Dafined publishes business-intelligence signals derived from approved public and commercial sources. Access is tiered across free and paid plans. We may change, add, or remove features over time.

3. Accounts

You are responsible for your account credentials and for activity under your account. Provide accurate information and keep it current. We may suspend accounts that violate these Terms.

4. Acceptable use

You agree not to:

• resell, redistribute, or sublicense the data except as expressly permitted by your plan;
• use the data to identify, profile, target, or contact individuals unlawfully;
• scrape, bulk-export, or circumvent tier limits or access controls;
• use the Service to violate any law or third-party right.

5. Data accuracy & no warranty

Signals are derived from third-party sources and provided “as is” for informational purposes. While we apply confidence scoring and human review, we do not warrant that any record is accurate, complete, or current. You are responsible for your own decisions made using the data. To the fullest extent permitted by law, we disclaim all implied warranties.

6. Subscriptions & billing

Paid plans are billed in advance on a recurring basis through Stripe until cancelled. Unless required by law, fees are non-refundable. You can cancel anytime; access continues until the end of the current billing period. We may change pricing with notice.

7. Intellectual property

The Service, its software, structure, and presentation are owned by Dafined. Underlying facts are not owned by us; the compiled feeds, normalization, and derived signals are. Subject to your plan, you receive a limited, non-exclusive, non-transferable licence to use the data for your internal business purposes.

8. Limitation of liability

To the fullest extent permitted by law, Dafined is not liable for indirect, incidental, special, or consequential damages, or lost profits or data. Our total liability for any claim is limited to the amounts you paid us in the 12 months before the claim.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to comply with law. Sections that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Courts located in British Columbia have exclusive jurisdiction, subject to any mandatory consumer protections.
